By using pi-automate, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.


1. DESCRIPTION OF SERVICE

pi-automate is a business-to-business (B2B) workflow automation platform for Google Ads accounts. Users create workflows in natural language, and we execute them via the Google Ads API using AI/LLM technology.

Service Capabilities: Campaign management, ad creation and editing, budget optimization, reporting, analytics, and custom automations.

Access Required: Full read-write access to your connected Google Ads accounts.


2. OPERATION MODES

IMPORTANT: pi-automate is experimental AI-powered software in beta. Both operation modes use experimental AI technology and carry significant risks. We are an early-stage startup providing beta software.

2.1 Co-Pilot Mode (Default Setting)

  • Shows you AI-generated proposed changes before executing
  • You review and approve each action manually
  • Provides more control than Autopilot mode
  • Still experimental - AI suggestions may be incorrect

Co-Pilot Mode Disclaimers:

(a) This mode is experimental - the AI generating suggestions is in beta

(b) AI-generated suggestions may be incorrect, incomplete, or harmful

(c) We do NOT review, validate, or guarantee the accuracy of suggestions

(d) You are responsible for evaluating and approving/rejecting each suggestion

(e) Approving a suggestion means you accept full responsibility for that action

(f) We are NOT liable for suggestions you approve, even if they cause losses

(g) Use your own professional judgment - do not blindly approve AI suggestions

Co-Pilot mode gives you a chance to review before executing, but it is still experimental AI and you remain fully responsible for all approved actions.

2.2 Autopilot Mode (Highly Experimental)

WARNING: Autopilot is even more experimental than Co-Pilot and is strongly not recommended.

What it does:

  • Fully automated workflow execution
  • AI makes autonomous decisions and executes automatically
  • No approval step - changes happen immediately
  • Attempts automatic optimization based on AI judgment

Status:

  • Highly experimental beta software
  • Even riskier than Co-Pilot because there is no human review step
  • Strongly not recommended for any use
  • Extremely unpredictable results
  • May cause significant financial losses

If you enable Autopilot, you explicitly accept that:

(a) It is highly experimental, unstable, and will likely malfunction

(b) Results are completely unpredictable

(c) You use it entirely at your own risk

(d) You should only use it on test accounts with budgets you can afford to lose completely

(e) You must monitor constantly

(f) We are NOT liable for ANY Autopilot results, damages, or losses

We strongly recommend NOT using Autopilot mode under any circumstances.


3. ELIGIBILITY AND B2B NATURE

3.1 Eligibility Requirements

To use pi-automate, you must:

(a) Be at least 18 years of age

(b) Have legal authority to manage the Google Ads accounts you connect

(c) Have authority to bind your organization (if applicable) to these Terms

(d) Not be prohibited from using the Service under applicable laws

3.2 Business-to-Business Service

pi-automate is designed as a business-to-business (B2B) service primarily for:

  • Marketing agencies managing client accounts
  • Businesses managing their own Google Ads accounts
  • Professional advertisers and marketing professionals

This Service is not intended for consumer use. These Terms reflect the B2B nature of our service and the parties' equal bargaining power.

3.3 Agency Responsibility

If you are a marketing agency or consultant:

(a) You are responsible for obtaining proper authorization from your clients before connecting their Google Ads accounts

(b) You must comply with all applicable data protection obligations toward your clients

(c) You are solely responsible for the workflows you execute on client accounts

(d) You must inform your clients about pi-automate's data processing practices

(e) We have no direct relationship with your clients and no obligations toward them

(f) By connecting a Google Ads account, you confirm you have authority to share all data in that account with us, including email addresses and names of other users with account access (your team, client's team, etc.)


4. USER RESPONSIBILITIES

4.1 Mandatory Obligations

You must:

(a) Comply with Google Ads policies and all applicable laws

(b) Evaluate all AI suggestions with your own professional judgment (do not blindly approve)

(c) Monitor your campaigns and workflow execution regularly in both modes

(d) Implement your own safeguards (budget limits, testing, backups)

(e) Accept full responsibility for all actions (approved or automated)

(f) Not use the Service for illegal, fraudulent, or harmful purposes

(g) Not attempt to reverse engineer or interfere with the Service

4.2 Recommendations

We strongly recommend you:

(a) Carefully evaluate each Co-Pilot suggestion before approving

(b) Never approve suggestions you do not fully understand

(c) Test workflows on low-budget test campaigns first

(d) Set conservative budget limits in your Google Ads account

(e) Monitor campaign performance daily when using any automation

(f) Maintain backups of critical campaign configurations

(g) Have adequate business insurance for advertising losses

(h) Never use Autopilot mode


5. CURRENT SERVICE MODEL: FREE PILOT PROGRAM

5.1 Pilot Phase

Currently:

  • Service is FREE during pilot phase (primarily for marketing agencies)
  • We may limit access, change features, or modify the pilot at any time
  • No guarantees of uptime or specific performance

5.2 Transition to Paid Service

Future:

  • We plan to transition to a pay-per-use pricing model
  • You will receive at least 30 days notice before we start charging

6. SERVICE AVAILABILITY - EXPERIMENTAL BETA SOFTWARE

pi-automate is experimental beta software. As an early-stage startup, we do NOT guarantee:

(a) Uninterrupted or error-free operation

(b) Specific uptime percentages

(c) Enterprise-level redundancy or disaster recovery

(d) Immediate bug fixes or support response times

(e) Feature permanence (features may change or be discontinued)

(f) Accuracy of AI suggestions in either mode

(g) Successful workflow execution

The Service is in beta testing and may have bugs, errors, interruptions, or unexpected behavior. You are using experimental software at your own risk.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We may perform scheduled or emergency maintenance that temporarily interrupts service availability.


7. LIABILITY AND DISCLAIMERS (GERMAN LAW)

IMPORTANT: This section defines our liability limits under German law. The Service would not be economically viable without these limitations. By using experimental beta software, you accept these risk allocations.

7.1 B2B Service and Equal Parties

This is a business-to-business service. You are a professional user with technical expertise or access to professional advisors. Both parties have equal bargaining power. These liability limits are reasonable for experimental AI automation software in beta testing.

7.2 Unlimited Liability (Cannot Be Excluded Under German Law)

We remain fully liable without limitation for:

(a) Intentional acts (Vorsatz) by us or our legal representatives

(b) Gross negligence (grobe Fahrlässigkeit) by us or our legal representatives

(c) Injury to life, body, or health (Verletzung von Leben, Körper, Gesundheit) caused by us

(d) Claims under the German Product Liability Act (Produkthaftungsgesetz)

(e) Any other liability that cannot be excluded under mandatory German law

7.3 Limited Liability for Simple Negligence

For simple negligence (einfache Fahrlässigkeit):

(a) Breach of Essential Duties (Kardinalpflichten): If we breach an essential duty through simple negligence, our liability is limited to typical and foreseeable damages at the time of contract formation.

Essential duties are those whose fulfillment is necessary to achieve the purpose of the contract and on whose compliance you may reasonably rely.

(b) Breach of Non-Essential Duties: For simple negligence in breaching non-essential duties, we are not liable.

7.4 Excluded Damages

We are NOT liable for:

(a) Indirect or consequential damages

(b) Lost profits, revenue, or business opportunities

(c) Google Ads campaign performance or return on investment

(d) AI errors, misinterpretations, or incorrect suggestions in any mode

(e) Any damages from Autopilot mode use

(f) Any damages from Co-Pilot mode suggestions you approved

(g) Damages from workflow execution errors in either mode

(h) Damages from relying on AI-generated suggestions or decisions

(i) Damages from acting on AI suggestions, whether approved or automated

(j) Data loss (maintain your own backups)

(k) Third-party service failures (Google API, Azure, OpenAI)

(l) Service interruptions or downtime

(m) Damages exceeding typical and foreseeable losses for this type of experimental service

Critical Clarification - We Provide a Tool, Not Professional Advice:

(a) We provide software tools that generate AI suggestions and execute workflows

(b) We do NOT provide advertising advice, recommendations, consulting, or professional services

(c) We do NOT review, validate, guarantee, or endorse the correctness of AI outputs

(d) AI suggestions are provided "AS IS" with zero warranties of accuracy, quality, or suitability

(e) Showing you a suggestion does not mean we are recommending it or vouching for it

(f) You are solely responsible for all decisions, whether approving Co-Pilot suggestions, creating workflows, enabling Autopilot mode, or implementing any AI-generated strategies

(g) Using our tool means you accept full responsibility for all outcomes and consequences

(h) You must apply your own professional expertise and judgment to all AI outputs

7.5 Experimental Software and AI Risks - You Accept All Risks in Both Modes

pi-automate is experimental beta software. Both Co-Pilot and Autopilot modes are experimental.

You explicitly acknowledge and accept:

About Our Experimental Software:

(a) The entire Service is in beta and experimental

(b) Both modes use experimental AI technology

(c) We are an early-stage startup testing new technology

(d) Features may not work as intended or may fail completely

(e) You are beta testing experimental software at your own risk

About AI Technology:

(a) AI/LLM technology is probabilistic and frequently produces errors, sometimes catastrophic

(b) Natural language processing regularly misinterprets instructions

(c) AI suggestions can be completely wrong, harmful, or nonsensical

(d) AI can "hallucinate" information that seems plausible but is completely false

(e) Automation can execute rapidly at scale, amplifying errors exponentially

(f) AI outputs are NOT advice, recommendations, or professional guidance

(g) AI outputs have NO WARRANTY of accuracy, reliability, or fitness for purpose

About Co-Pilot Mode (Experimental):

(a) Co-Pilot mode is experimental - the AI generating suggestions is in beta

(b) AI suggestions may be incorrect, harmful, or counterproductive, even if they sound plausible

(c) The fact that we show you a suggestion does NOT mean we endorse, recommend, or validate it

(d) You are responsible for evaluating each suggestion with your own professional judgment and expertise

(e) Approving a suggestion equals your decision, equals your responsibility, equals your liability

(f) We do not review, fact-check, or validate suggestions before showing them to you

(g) Showing you AI output does not equal us recommending that action

(h) You assume 100% of the risk for suggestions you approve

(i) Being able to review before approving does not make it non-experimental - it just gives you control

About Autopilot Mode (Even More Experimental):

(a) Autopilot is EVEN MORE experimental than Co-Pilot

(b) Highly experimental and extremely unpredictable

(c) Will likely cause errors, losses, or damaging changes if used

(d) Only for testing purposes on accounts with budgets you can afford to lose entirely

(e) Using Autopilot means accepting complete liability for all automated actions

(f) No human review step makes it significantly riskier than Co-Pilot

Your Responsibility:

(a) No automated system or AI tool can replace human judgment and oversight

(b) You use our tool entirely at your own risk in BOTH Co-Pilot and Autopilot modes

(c) You are responsible for monitoring, evaluating, managing, and bearing consequences of all outcomes

(d) You accept that AI can (and likely will) be wrong and you bear all consequences of any errors

(e) You must apply your own professional advertising expertise to evaluate all AI outputs

(f) If you lack expertise to evaluate AI suggestions, you should not use this Service

7.6 Contributory Negligence (Section 254 BGB)

If your actions contributed to any damages, your claims are reduced or eliminated proportionally under Section 254 of the German Civil Code (Bürgerliches Gesetzbuch).

Examples of contributory negligence:

(a) Using Autopilot mode despite our strong warnings against it

(b) Approving Co-Pilot suggestions without proper evaluation

(c) Blindly approving AI suggestions without using professional judgment

(d) Treating AI suggestions as professional recommendations rather than unvalidated tool output

(e) Approving suggestions you do not fully understand or cannot verify

(f) Not having sufficient advertising expertise to evaluate AI outputs

(g) Not monitoring workflows or campaign performance in either mode

(h) Not testing workflows on low-budget test accounts first

(i) Not setting budget limits in Google Ads

(j) Not maintaining backups

(k) Failing to implement your own approval processes or safeguards

(l) Ignoring our recommendations in Section 4

(m) Relying on automation without adequate human oversight

Critical Principle: The extent of your reliance on AI without proper oversight directly correlates to your contributory negligence. Your decision to use the Service, approve suggestions, or enable automation equals your responsibility for consequences.

7.7 Economic Necessity of These Limitations

These liability limitations are essential because:

(a) We are providing experimental beta software, not a production-ready service

(b) Both modes are experimental - AI technology is inherently unpredictable

(c) Without these limits, we could not offer experimental features at current pricing (free pilot)

(d) The business model would not be economically viable for an early-stage startup

(e) We could not provide experimental AI automation capabilities

(f) AI automation services require appropriate risk allocation

(g) You are beta testing new technology - you accept the risks of being an early adopter

By using the Service, you confirm:

(a) You understand this is experimental beta software

(b) These risk allocations are reasonable for experimental technology

(c) You are willingly testing beta software at your own risk

7.8 Statute of Limitations

Claims against us must be brought within one (1) year from the date you knew or should have known of the circumstances giving rise to the claim, unless mandatory law requires a longer period.

This shortened limitation period does not apply to:

  • Claims based on intentional acts or gross negligence
  • Claims for injury to life, body, or health
  • Claims under the Product Liability Act
  • Other claims where statutory law prohibits shortening the limitation period

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless pi-optimal UG (haftungsbeschränkt), its shareholders, officers, directors, employees, contractors, and agents from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to:

(a) Your use or misuse of the Service in either mode

(b) Your violation of these Terms or applicable laws

(c) Your Google Ads campaigns, content, or advertising practices

(d) Workflows you create, approve, or execute

(e) AI suggestions you approve in Co-Pilot mode

(f) Your use of Autopilot mode

(g) Your clients' claims (if you are an agency)

(h) Unauthorized actions taken by persons accessing your account

(i) Your failure to monitor automated workflows

(j) Your failure to use Co-Pilot mode when recommended

(k) Any negligent, reckless, or intentional acts or omissions on your part

Indemnification Procedure:

(a) We will notify you promptly of any claim subject to indemnification

(b) You will have the right to control the defense and settlement of such claims

(c) We may participate in the defense at our own expense

(d) You may not settle any claim without our prior written consent if it imposes obligations on us or admits our liability


9. DATA PRIVACY

Your use of the Service is governed by our Privacy Policy, available at [INSERT URL].

(a) We access and process your Google Ads data to provide the Service

(b) Data is stored in Azure Europe West (Netherlands) and processed in Azure Sweden

(c) We do not sell your data to third parties

(d) You can request deletion of your data at any time

10. TERMINATION

10.1 Termination by You

You may terminate your account at any time by:

(a) Revoking Google Ads API access through your Google Account settings, or

(b) Contacting us at hello@pi-optimal.com to request account deletion

10.2 Termination by Us

We may suspend or terminate your access to the Service:

(a) For violation of these Terms

(b) For illegal or fraudulent activity

(c) If you breach Google's Terms of Service or Advertising Policies

(d) At our discretion during the pilot program

(e) For non-payment (when paid service begins)

(f) For any reason with 30 days notice

10.3 Effect of Termination

Upon termination:

(a) Your access to the Service will cease immediately

(b) We will delete your data within 30 days (unless legally required to retain it)

(c) You remain liable for any obligations incurred before termination

(d) Sections 7, 8, 11, and 12 shall survive termination


11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Stuttgart, Germany, or the competent courts of Baden-Württemberg.

11.3 Informal Resolution

Before initiating formal legal proceedings, you agree to contact us at hello@pi-optimal.com to attempt to resolve the dispute informally.


12. GENERAL PROVISIONS

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and pi-optimal UG (haftungsbeschränkt) regarding the Service.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign or transfer our rights and obligations without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, internet failures, or third-party service outages.

12.6 Language

These Terms are provided in English. In the event of any conflict between an English version and a translation, the English version shall prevail.

13. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date.

For material changes, we will:

(a) Notify you via email at least 30 days before the changes take effect

(b) Provide a summary of key changes

Your Options:

(a) Continued use of the Service after changes constitutes acceptance of the new Terms

(b) If you do not agree to the changes, you must discontinue use of the Service
